I guess one of the fundemental questions is what do you want to re-use
vs.
replace?

What's consuming the CPU cycles on your main server, is it Exchange etc. or
the HA apps? Could you move the HA apps onto another machine (say the Dell)
and keep the server just as your Exchange box (with RAID array added -
don't
forget RAID spec drives and some way of backing them up)

In the spirit that faster processors = more heat = more fans/cooling = more
noise and electricity, I'd be tempted to go for processors that produce
less
heat e.g. Xeon LVs or new Intel dual core stuff for the servers, and an ITX
board for the Asterisk box.

Other thing to avoid is 1U cases as they tend to have whiney 40mm fans in
them...
