I do have one suggestion... VMWare...

Use the VMware Converter (free) to move the existing server into a virtual
environment (free). That easily releases the existing hardware for you to
do
a fresh install of Windows Server 2003 R2 x64... to have Exchange 2007
added
on-top.

PS: I have done this to several servers, and had (almost) no problems with
the conversion, and every time I had a problem simply powering on the
original server takes you back to where you were with no changes.

Yes - that would normally be my preference too bu this is my fairly new
server with big raid etc. I'd want to stay on this hardware. I do have
other
hw I can use in the process though.

Any ideas?

Personnally I wouldn't do an in-place upgrade but would build a 64bit
2007 server into the same admin group of the E2K3 server and do a move
mailbox migration
