HA server recommendation

My HA server is getting a bit long in the tooth =96 and too slow.

I need some recommendations as to what components to replace it with
(mainb=
oard, processor). I was thinking of maybe putting it in a rack mount case

s well. Has to be as quiet as possible and not generate too much heat. It

Win 2K3 Server
Exchange server
Fileserver
FTP
DNS
DHCP
Lots of HA apps
IIS
MP3 server
Etc etc

So it does run a lot of apps and needs to be powerful without generating a

lot of heat and noise.

Any thoughts?
